Cloned from a shapeshifting mutant's DNA, but heavily constrained by programming during his maturation process, Jack can use his instable molecular structure to replicate many of Spider-Man's powers. Increased agility, moderately increased strength, heavily increased durability, adhesion to surfaces, and biologically produced webbing. His conditioning gives him above average reflexes, but not the precognitive synapse of a 'proper' Spider-sense. At present, he can only employ two of his powers at once.
History:
Seven years ago, the Leap Foundation, a multinational corporation founded on biochemical and global media companies, began a project to establish the world's first corporately created, owned, and operated superhero. The Guardian Project was intended to produce an individual who was as much a protector of the weak and innocent (especially when news crews were nearby), as a corporate mascot and merchandising opportunity. The gender, physical appearance, projected personality, and power template were all selected based on focus group responses. However, when the verdict came back that Spider-Man would be the most profitable venue to exploit, the project reached a roadblock in obtaining verified DNA from their target subject. The project's lead scientist, Professor Millia Graft, diverted the focus away from a simple cloning effort to creating a more adaptable template. Using appropriated DNA from a shapeshifting mutant, they were able to create a viable clone body, which through mental conditioning throughout its five-year maturation period would be compelled to engage in heroic behavior, following personality profiles set forth by research into public trends. This programming was used to 'lock' the clone's shapeshifting ability into predetermined civilian and costumed forms. The programming would also ensure absolute loyalty to the Leap Foundation and his handlers.

The project progressed steadily over the duration of the maturation period, all scans indicating positive reception of the behavioral protocols, and the knowledge-base necessary to function in society (major political information, social customs, language comprehension, etc). Merchandising venues and media exposure coordination were ready to go public, as were final implantation of the loyalty/command protocols, when two months before the project would have reached full viability, something went wrong. Due to unforseen interference, Project Guardian awoke prematurely, self-preservation programming compelling it to escape the facility.

The subject, programmed to know his name as John Smith, wound up on the streets of New York, living in homeless shelters as he tried to piece together his identity. At every opportunity he had, he volunteered to help others at the shelter, and in the areas around them. During his time there, he grew close to one of the head volunteers, Maggie Harper, looking at her as an older sister figure. After a few months, while breaking up a fight between two people staying at the shelter, he wound up throwing one of them across the room, with a burst of strength that surprised himself and everyone present. At the same time, he transformed into a costumed appearance. In the panic that ensued, he fled the shelter, instinctively hurling out tendrils of matter that he swung from building to building on.

The Leap Foundation will be looking for him, as he attempts to figure out his place in the world. For now, all he knows is that the costume feels right, and he needs to protect anyone he can.

The Programming: Jack has a general understanding of modern society, technology, and basic customs, along with a comprehension of colloquial Americanized English. He is designed not to have any particular accent, and if placed in an environment that afforded him enough money, would be drawn to whatever the latest social and fashion trends are. He's susceptible to suggestion, but has an inflexible moral code when it comes to people in danger, and common courtesy. As a result of having no real personal memories, he gets most things on an intellectual level, but doesn't respond to them with the expected level of emotion a normal person would.
